Terms of Use

1. Professional use

SmartLex is a professional productivity and workflow tool.

You control what you upload, research, save, draft, revise, export or file.

You remain responsible for your professional judgment, duties to clients, confidentiality obligations, privilege decisions, court rules, filing requirements, limitation periods and deadlines.

SmartLex does not practise law, does not act as counsel to you or your client and does not create a lawyer-client relationship between SmartLex and any user or client.

2. AI-generated and research outputs

SmartLex uses automated systems and third-party information sources.

Research results, extracted information, summaries, citations, legal propositions, drafts and other outputs may contain errors, omissions, outdated information or inappropriate emphasis.

You must independently review outputs before relying upon them professionally and must verify relevant authorities against appropriate primary or authoritative sources.

Descriptions such as "supported", "checkable" or similar terminology refer only to checks performed within the SmartLex workflow. They do not guarantee legal correctness, completeness, current validity or suitability for filing.

SmartLex does not guarantee any legal, procedural, commercial, arbitral or court outcome.

3. Your content

You retain your rights in material you upload or enter into SmartLex.

You grant SmartLex a limited right to process that material only to the extent reasonably necessary to provide, secure, maintain and operate the service.

You represent that you have sufficient authority to upload and process the material you provide, including personal information and confidential client material.

4. Confidentiality and professional obligations

You are responsible for using SmartLex consistently with your professional duties, confidentiality obligations and applicable law.

SmartLex's security controls do not eliminate your responsibility to determine whether particular client or matter information may appropriately be processed using cloud, AI or third-party technology.

5. Third-party services

SmartLex depends on third-party infrastructure, AI services and legal-information providers.

Certain functions, availability and outputs may therefore depend on those providers.

SmartLex is not responsible for failures or interruptions caused solely by independent third-party services outside SmartLex's reasonable control.

6. Service changes and availability

Features may be introduced, modified, replaced or removed as the platform develops.

The service may occasionally be unavailable or interrupted.

Unless separately agreed in writing, SmartLex does not provide a service-level guarantee regarding uptime, availability, response times or preservation of any particular feature.

7. Acceptable use

You must not:

• use SmartLex for unlawful purposes;
• attempt unauthorised access to another user's account or matter;
• interfere with the security or operation of the service;
• introduce malware or malicious code;
• upload material you have no authority to process;
• impersonate another person;
• misuse third-party legal-information sources accessed through SmartLex; or
• use the service to facilitate unlawful conduct.

SmartLex may restrict or suspend access where reasonably necessary to protect users, infrastructure, third-party providers or legal compliance.

8. Intellectual property

SmartLex and its software, interfaces, branding, workflows and underlying technology remain the property of SmartLex or its licensors.

Subject to applicable law, these Terms and third-party rights, you may use outputs generated through your account for your professional legal work.

9. Availability, backups and deadlines

SmartLex is not a court filing system, limitation calculator, deadline-management guarantee or permanent archival service unless a particular feature expressly states otherwise.

You remain responsible for maintaining appropriate copies of important professional documents and monitoring all procedural and legal deadlines independently.

10. Limitation of liability

To the maximum extent permitted by applicable law, SmartLex will not be liable for indirect, incidental, special or consequential losses arising from use of the service, including losses resulting from reliance on an AI-generated output, research result, unavailable service or missed procedural deadline.

SmartLex's aggregate liability arising from or relating to the service will not exceed the greater of:

• (a) ₹10,000; or
• (b) the amount paid by you to SmartLex during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such liability cannot lawfully be excluded or limited, including liability arising from fraud or wilful misconduct where applicable.

11. Suspension and termination

You may stop using SmartLex at any time.

SmartLex may suspend or terminate access where reasonably necessary because of material breach of these Terms, unlawful use, security risks, abuse of the service or requirements imposed by law or third-party infrastructure providers.

12. Changes to these Terms

SmartLex may update these Terms as the platform develops.

Material changes will be reflected on this page and, where appropriate, communicated to users.

Continued use following an applicable update may be subject to the updated Terms.

13. Governing law and jurisdiction

These Terms are governed by the laws of India.

Subject to applicable law, courts at New Delhi, India will have jurisdiction over disputes arising from or relating to SmartLex or these Terms.

14. Eligibility

You must be at least 18 years old and legally capable of entering into these Terms to create a SmartLex account.

15. Pricing, billing and refunds

Where SmartLex offers a paid plan, the applicable price, billing period and any taxes or material charges will be shown before purchase. SmartLex will not intentionally add undisclosed recurring charges.

Any plan-specific cancellation or refund terms shown at checkout form part of these Terms, subject always to rights that cannot be excluded under applicable law.
